MEMBER PROXY
On April 9, 2022, the Tufts University Alumni Council (the “Council”), the governing body of Tufts University Alumni Association, Inc. (the “TUAA”), voted to approve the restatement and amendment of the Association’s Articles of Organization. A copy of the existing Articles of Organization, as amended, can be found here and here. The Restated and Amended Articles of Organization (the “Restated Articles”) approved by the Council can be found here.

The Council will seek your approval of the Restated and Amended Articles of Organization at the June 5, 2022 Annual Meeting of all TUAA members (the “Members Meeting”). The Members Meeting will take place in person at 9:30 a.m. on June 5, 2022 at the home team bleachers at Ellis Oval/Zimman Field. Directions to Ellis Oval/Zimman Field can be found here. The following resolution will be voted at the Members Meeting:
| That the amendment and restatement of the Articles of Organization of the Tufts University Alumni Association, Inc., in the form attached hereto as Exhibit A be and hereby is authorized. |
The Council recommends you vote in favor of this resolution.
YOU MAY VOTE ON THIS RESOLUTION EITHER BY ATTENDING THE MEMBERS MEETING IN PERSON OR BY RETURNING THE APPOINTMENT OF PROXY. WHETHER YOU PLAN TO ATTEND OR NOT, IT WOULD BE HELPFUL IF YOU WOULD SUBMIT AN APPOINTMENT OF PROXY IN THE MANNER AND TIMEFRAME DESCRIBED HEREIN. IF YOU ATTEND THE MEMBERS MEETING YOUR APPOINTMENT OF PROXY WILL BE CANCELLED UPON YOUR ARRIVAL IF YOU DESIRE TO REVOKE IT OR VOTE IN PERSON. YOUR ATTENDANCE IN PERSON IS ENCOURAGED, BUT SHOULD ANYTHING PREVENT YOUR ATTENDANCE IN PERSON, YOUR PRESENCE WILL BE BY PROXY IF YOU PROPERLY COMPLETED AND DELIVERED THE APPOINTMENT OF PROXY IN THE MANNER AND TIMEFRAME DESCRIBED HEREIN.
